The case involves a management buy-out of a small bank engaged in wealth management mainly in the Geneva market for offshore private banking services. It explores problems of due diligence and confidentiality in private banking, and the legal and regulatory aspects of valuation and risk exposure.

Pedagogical Objectives: To learn about the nature of offshore private banking as a value chain in preserving financial confidentiality, with a focus on the valuation of an offshore private banking franchise, the value drivers, and the difficulties of appropriate due diligence and risk control in that environment.
